Plain-English preamble. Equavion is software published by Good Humans Ventures ("Equavion", "we", "us"). It is currently in active beta. By creating an account or using the service you agree to these terms. This page is a legal agreement, not legal advice for you — please read it carefully and, if in doubt, ask your own adviser.
1.Beta service notice
Equavion is a pre-release product. Features, workflows, data models, integrations and pricing may change, be delayed, or be withdrawn at any time. Availability, performance and uptime are not guaranteed. We may reset non-production data, migrate schemas, or remove test accounts with reasonable notice. You should not rely on the service as the sole system of record for regulated, audit-critical, or time-sensitive activity during beta.
2.Eligibility and account security
You must be at least 18 years old and legally able to enter into a contract in your jurisdiction. You agree to provide accurate registration information, keep your credentials secure, and notify us promptly of any suspected unauthorised access. You are responsible for all activity on your account.
3.Acceptable use
You agree not to: (a) use the service unlawfully or in breach of a third party's rights; (b) upload personal data you do not have the right to process; (c) attempt to reverse engineer, scrape, probe, penetration-test or overload the platform without our written permission; (d) resell or sublicense access without a written agreement; or (e) use the platform to distribute malware, spam or misleading investment solicitations.
4.Your content and data
You retain ownership of the content you upload (companies, decks, cap tables, documents, notes). You grant Equavion a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display and back up that content solely to operate, secure and improve the service for you and the workspaces you designate. You are responsible for the accuracy, lawfulness and completeness of the content you submit.
5.AI outputs and Verity
Verity and other AI-assisted features generate summaries, drafts, signals, briefs and scenarios. These outputs are informational, may contain errors or omissions, and must not be relied on as investment, legal, tax, accounting or medical advice. You are responsible for reviewing AI outputs and independently verifying anything you act upon.
6.No investment advice; no fiduciary relationship
Equavion is a software platform. We are not a broker-dealer, investment adviser, financial planner, fund administrator, custodian, escrow agent, valuer, auditor or fiduciary. Nothing on the platform, including AI outputs, valuations, scenarios or matching, constitutes an offer, solicitation, or recommendation to buy, sell or hold any security. All investment decisions are yours alone.
7.Third-party services
The service integrates with third-party providers (including cloud infrastructure, authentication, storage, email, and large language model vendors). Your use of those services is also governed by their own terms and privacy notices. We are not responsible for third-party outages, changes or errors.
8.Fees, plans and beta features
Some plans and features are free during beta and may become paid on notice. Paid plans are billed in advance, non-refundable except where required by law, and can be cancelled at any time (access continues until the end of the current billing period). We may change pricing on 30 days' notice.
9.Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SERVICE AT YOUR OWN RISK.
10.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EQUAVION, GOOD HUMANS VENTURES OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA; ANY LOSS ARISING FROM AN INVESTMENT DECISION MADE USING THE SERVICE; OR ANY BUSINESS INTERRUPTION — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (a) AUD $100 OR (b) THE FEES YOU PAID TO EQUAVION FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including under the Australian Consumer Law.
11.Indemnity
You will defend, indemnify and hold harmless Equavion and Good Humans Ventures from any third-party claim, loss, damage or expense (including reasonable legal fees) arising from (a) your content, (b) your use of the service in breach of these terms or applicable law, or (c) your investment, fundraising or employment decisions.
12.Suspension and termination
We may suspend or terminate your access if you materially breach these terms, if required by law, or to protect the security or integrity of the service. You may cancel at any time. For 30 days after termination we will make your workspace data available for export in a reasonable machine-readable format, after which it may be permanently deleted.
13.Governing law and jurisdiction
These terms are governed by the laws of Victoria, Australia. You and Equavion submit to the exclusive jurisdiction of the courts of Victoria and the federal courts of Australia sitting in Melbourne.
14.Changes to these terms
We may update these terms from time to time. Material changes will be notified by email or in-app before they take effect. Continued use of the service after the effective date of the updated terms constitutes acceptance.
